License Agreement Version 1 - June 2006

This is a legal agreement between licensee (the purchaser) and Slight and Watts Photos (the seller). This agreement applies to licenses issued via the web and via local sales representatives, and is applicable to online, digital and analogue (physical) delivery of licensed material (the “agreement”).   

1. Definitions, In this Agreement the following definitions apply:

1.1. "Licensed Material" means any still image, film or video footage, audio product, visual representation generated optically, electronically, digitally or by any other means, including any negatives, transparencies, film imprints, prints, original digital files or any Reproductions thereof, or any other product protected by copyright, trademark, patent or other intellectual property right, which is licensed to Licensee by Slight and Watts Photos under the terms of this Agreement. Any reference in this Agreement to the Licensed Material shall be to each individual item within the Licensed Material and also to the Licensed Material as a whole.

1.2 “Licensee” means the person or entity purchasing a license hereunder or, if there is a separate Purchaser, the person or entity specifically designated as Licensee during the purchase process and set forth as such in the Invoice.

Grant of Rights

The Grant of Rights section only applies to Licensed Material that was supplied in a JPEG or TIFF digital format. This does not apply to physical hard copy prints. If you have a physical hard copy then you have no licensed to print or transfer see section 3 (Restrictions).

Licensee may only use the Licensed Material for home/non commercial use.  The following is allowed by the Licensee under this agreement.

• Printing - Licensee is able to print up to 10 hard copies of the licensed material.
• Digital transfer - Licensee can send up to 10 e-mail with the licensed material but must be scaled down, and ensure that the recipient will not print, edit or copy the licensed material.

Restrictions

The following restrictions apply but not limited to the licensed material, the licensee may NOT without written permission from an authorised person of Slight and Watts Photos:

• Copy (except if allowed in the Grant of Rights section)
• Scan
• Reproduce
• Republish
• Upload or Digital Copying
• Post
• Transmit
• Distribute or Publicly Display

If the licensee has purchased a hard copy of the licensed material rather than the digital format then the licensee has no right to reproduce the licensed material. The licensee may not transfer this agreement.

Copyright

No ownership or copyright in any Licensed Material shall pass to Licensee by the issuance of the license contained in this Agreement. Except as expressly stated in this Agreement, Slight and Watts grants Licensee no right or license, express or implied, to the Licensed Material.

Warranty

The images are provided to the recipient as is. All implied warranties are hereby disclaimed, including, without limitation, the warranties of title, infringement, merchantability, and fitness for a particular purpose. To the extent that images include any trade name, trademark, or service mark owned by a third party, the user is responsible for obtaining appropriate permissions and licenses from such third parties.

You agree to indemnify and hold Slight and Watts Photos and its representatives harmless from any and all losses, expenses, damages or costs resulting from any violation of these terms and conditions or your use of the images provided.

Withdrawal

Upon notice from Slight and Watts Photos, or upon Licensee's knowledge that any Licensed Material is subject to a threatened or actual claim of infringement, violation of another right, or any other claim for which Slight and Watts Photos may be liable herein, or if Slight and Watts Photos withdraws any Licensed Material for any good reason, Licensee will physically remove the Licensed Material from its premises, computer systems and storage (electronic or physical) and, if possible, cease any future use at its own expense. Slight and Watts Photos shall provide Licensee with comparable Licensed Material (which comparability will be determined by Slight and Watts Photos in its reasonable commercial judgment) free of charge, but subject to the other terms and conditions of this Agreement.

Agreement

By purchasing a license from Slight and Watts Photos you agree to this License Agreement that will be governed by UK law.  We have the right to change this License Agreement at any time without prior notice, unless licensee is already in an active agreement in this case the license will be given seven days notice.
